1. General Disclaimer
PLEASE READ CAREFULLY: This Disclaimer applies to your use of VIPFreelancer.com ("the Platform", "we", "us", "our"). By accessing or using the Platform, you acknowledge and agree to the disclaimers set forth below.
VIPFreelancer is an intermediary platform only. We connect Businesses (Clients) with Professional Freelancers but are not a party to any service agreement between them. We do not:
Employ, supervise, or control Freelancers
Endorse or guarantee the quality, safety, or legality of Freelancer services
Warrant that Clients will pay or that Freelancers will deliver
Your use of the Platform is at your sole risk.
2. No Employer-Employee or Partnership Relationship
2.1 For Freelancers

You are an independent contractor. VIPFreelancer does not employ you. You are not entitled to employee benefits (health insurance, paid leave, retirement, workers' compensation, unemployment benefits).
You control your work. You set your own rates, schedule, tools, and methods. We do not direct or control how you perform services.
You are responsible for taxes. VIPFreelancer does not withhold income tax, Social Security, or Medicare. You must report your earnings and pay all applicable taxes.
No partnership or joint venture. Nothing in these terms creates a partnership, agency, or joint venture between you and VIPFreelancer.
2.2 For Clients (Businesses)
Statement Explanation
Freelancers are not your employees. You are hiring an independent contractor, not an employee. You are not responsible for payroll taxes, benefits, or workers' compensation unless required by local law (consult an attorney).
You direct the project, not the person. You control the scope, deliverables, and deadlines, but not how the Freelancer performs the work (e.g., their hours, tools, or location).
3. No Warranty on Freelancer Quality or Client Payment
3.1 For Clients (Hiring Freelancers)
VIPFreelancer does not warrant that:

Freelancers are qualified. While we vet VIP Badge holders, we cannot guarantee skills, experience, or honesty. You are responsible for interviewing and evaluating Freelancers.
Work will be error-free. No software, design, or writing is perfect. Freelancers deliver work "as is" with all faults.
Deadlines will be met. Freelancers may miss deadlines due to illness, technical issues, or other reasons. We do not guarantee timely delivery.
Freelancers will not misuse your data. We enforce NDAs and security, but cannot control Freelancer behavior off-Platform.
Example: If a Freelancer delivers buggy code, you must resolve it via the Dispute Resolution Procedure. VIPFreelancer is not responsible for fixing the code or compensating you for business losses.
3.2 For Freelancers (Working with Clients)
VIPFreelancer does not warrant that:

Clients will pay on time. While Escrow protects approved funds, Clients may delay approvals or file false disputes. We do not guarantee immediate payment.
Clients will be professional. Clients may be rude, change scope, or cancel projects. We do not guarantee professional behavior.
Projects will be as described. Clients may have unrealistic expectations or omit critical requirements. You are responsible for clarifying scope before accepting.
Your work will be used as intended. A Client may use your design for a different purpose than agreed. We cannot enforce usage restrictions (that is a legal matter).
Example: If a Client uses your logo on 100 products but only paid for a single-use license, VIPFreelancer is not liable for the Client's breach. You must pursue legal action independently.
4. No Warranty on Platform Availability & Performance
VIPFreelancer provides the Platform "as is" and "as available" without any warranties of any kind.
Disclaimer Explanation
No uptime guarantee (except for Enterprise SLAs). While we aim for 99.95% uptime, we do not guarantee uninterrupted or error-free service. Scheduled maintenance, cyberattacks, or technical failures may occur.
No warranty on data accuracy. Automated matching algorithms, search results, and recommendations are provided "as is." We do not guarantee that you will find the perfect Freelancer or Client.
Third-party services may fail. Payment processors, cloud hosts, and verification services may experience outages. We are not liable for their failures.
Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, war, pandemics, government actions, internet outages).
Example: If the Platform is down for 6 hours and you lose a $10,000 deal, VIPFreelancer is not liable for your lost profits.
5. No Legal or Financial Advice Disclaimer
VIPFreelancer does not provide legal, tax, or financial advice.
Situation Our Recommendation
Tax obligations (Freelancer) Consult a certified public accountant (CPA) or tax professional.
Contract drafting (Client) Have a lawyer review your project agreements, NDAs, and IP assignments.
Employment classification If unsure whether a Freelancer should be an employee, consult an employment attorney.
International payments & sanctions Check your local export control and sanctions laws. We do not screen for OFAC compliance beyond basic checks.
Any information on our blog, help center, or support chat is for general informational purposes only and does not constitute professional advice.
6. Third-Party Links & Integrations Disclaimer
The Platform may contain links to third-party websites, tools, or services (e.g., payment gateways, portfolio hosting, video conferencing).
Disclaimer Explanation
No endorsement. A link to PayPal, Google Drive, or Zoom does not mean we endorse or guarantee those services.
Separate terms apply. Your use of third-party services is governed by their terms and privacy policies, not ours.
No liability for third-party failures. If PayPal holds your funds or Zoom crashes during a client interview, we are not responsible.
Example: If you click a Freelancer's portfolio link and download malware, VIPFreelancer is not liable (though we will ban the Freelancer).
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIPFREELANCER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR:
Type of Damages Examples
Direct damages Loss of money paid to a Freelancer who ghosted (max liability = fees paid to us, not the project amount).
Indirect damages Lost profits, lost revenue, lost data, or business interruption.
Consequential damages Reputational harm, client lawsuits, regulatory fines.
Punitive damages Damages intended to punish us (not recoverable).
7.1 Maximum Liability Cap
User Type Maximum Liability (Total)
Client or Freelancer (standard) The total fees paid to VIPFreelancer in the 6 months preceding the claim.
VIP Badge Freelancer The total fees paid to VIPFreelancer in the 12 months preceding the claim.
Enterprise Client As specified in your Enterprise Agreement (typically $10,000–$50,000).
Example: If you paid VIPFreelancer $500 in fees over 6 months, our maximum liability to you is $500 – even if your project value was $10,000.
7.2 No Liability for User-to-User Disputes
VIPFreelancer is not liable for:
Work not delivered or poor quality
Non-payment or delayed payment
Intellectual property infringement
Breach of confidentiality
Any damages arising from your relationship with another user
Your sole recourse for user-to-user disputes is the Dispute Resolution Procedure or independent legal action against the other user.
8. Freelancer-Specific Disclaimers
8.1 No Guarantee of Work

We do not guarantee that you will find projects. Submitting proposals does not guarantee hiring. Market conditions, competition, and your profile quality affect success.
We do not guarantee minimum earnings. Some freelancers earn $0 per month. Your income depends entirely on your skills, marketing, and client demand.
8.2 No Guarantee of VIP Badge Approval

VIP Badge is discretionary. We may reject your application even if you meet minimum requirements (e.g., portfolio not impressive enough).
VIP Badge can be revoked. We may revoke VIP status for policy violations, low ratings, or inactivity (no projects in 6 months).
8.3 No Responsibility for Client Chargebacks
Disclaimer Explanation
Escrow protects approved funds. If a Client pays via Escrow and you deliver approved work, chargebacks are rare. However, if a Client's bank reverses a payment due to fraud (stolen credit card), we may reverse the transaction.
VIP Freelancers have limited protection. VIP Freelancers may receive up to $500 per year in chargeback coverage (see Terms). Standard freelancers have no coverage.
9. Client-Specific Disclaimers
9.1 No Guarantee of Freelancer Availability

Freelancers may reject your project. Posting a project does not guarantee that any Freelancer will apply or accept.
Freelancers may become unavailable. A Freelancer you hired may cancel due to illness, overbooking, or other reasons. We do not guarantee backup coverage.
9.2 No Guarantee of Intellectual Property Ownership
Disclaimer Explanation
Freelancers must assign IP upon payment. Our Terms require Freelancers to transfer IP after full payment. However, we cannot physically enforce this if the Freelancer disappears.
We do not monitor for stolen work. If a Freelancer delivers plagiarized content, you must discover and report it. We do not proactively scan for plagiarism.
9.3 No Responsibility for Freelancer Background Checks

Identity verification is not a background check. We verify government IDs for VIP Badge holders, but this is not a criminal background check. A verified ID does not guarantee trustworthiness.
We do not check criminal records. Unless required by local law, we do not perform criminal background checks. You should request consent for a background check if needed.
10. Platform Tools & Features Disclaimers
10.1 Time Tracker (Hourly Projects)
Disclaimer Explanation
Time tracker is not perfect. Screenshots and keystroke logs may fail due to technical issues. We do not guarantee 100% accuracy.
Manual time entries are not protected. Only time tracked with our tool is covered by Escrow. Manually added hours are not guaranteed.
10.2 Escrow Service
Disclaimer Explanation
Escrow is not a bank. Funds held in Escrow are not insured by FDIC or similar agencies. We use third-party custodial accounts.
Disputes may delay access. During a dispute, Escrow funds are frozen until resolution (up to 30 days).
10.3 AI Matching & Recommendations
Disclaimer Explanation
AI recommendations are for convenience only. Our algorithm suggests Freelancers based on keywords and ratings. We do not guarantee that recommended Freelancers are the best fit.
You are responsible for final selection. Do not rely solely on AI. Interview, review portfolios, and check references.
11. Accuracy of Information Disclaimer
Disclaimer Explanation
Freelancer profiles are self-reported. Freelancers may exaggerate skills, experience, or ratings. We do not independently verify every claim (except for VIP Badge applicants).
Client reviews are subjective. A 5-star review does not guarantee quality. Reviews reflect personal opinions, not objective facts.
Platform content may be outdated. Blog posts, help articles, and FAQs are periodically updated but may not reflect current laws or best practices.
12. Jurisdiction-Specific Disclaimers
12.1 For Users in the European Union (EU)
Right Limitation
Consumer protection laws If you are a consumer (not a business), certain EU consumer protections may override disclaimers in this document. However, VIPFreelancer is primarily a B2B platform.
Liability for death or personal injury Nothing in this Disclaimer limits our liability for death or personal injury caused by our negligence.
Statutory warranties In some EU countries, consumers have a 14-day right of withdrawal for digital services (if work hasn't started).
12.2 For Users in California (USA)

CCPA rights California residents have the right to opt out of data "sales" (we do not sell data). See Privacy Policy.
Proposition 65 No warning required – our Platform does not contain chemicals known to cause cancer.
12.3 For Users in Australia
Disclosure Explanation
Consumer guarantees Under Australian Consumer Law, our services come with guarantees that cannot be excluded. If we fail to provide services with due care and skill, you may be entitled to a remedy.
12.4 For Users in India

Intermediary liability Under the Information Technology Act, 2000, VIPFreelancer is an intermediary and is not liable for third-party content (user profiles, project descriptions, chat messages) provided we comply with takedown requests.
13. No Responsibility for User-Generated Content
VIPFreelancer does not moderate or endorse user-generated content, including:

Chat messages Not monitored in real time (we review only during disputes)
Reviews and ratings Not edited (except for spam or hate speech)
Reporting: If you encounter illegal or policy-violating content, report it to abuse@vipfreelancer.com. We will investigate and remove if warranted.
We are not liable for content posted by users, even if that content is defamatory, offensive, or illegal. Our liability is limited to removing it after receiving a valid complaint (DMCA for copyright, etc.).
14. DMCA Copyright Disclaimer (For US Users)
VIPFreelancer complies with the Digital Millennium Copyright Act (DMCA).
Our Policy Explanation
We respond to takedown notices. If you believe your copyrighted work is being used without permission on our Platform, send a DMCA notice to copyright@vipfreelancer.com.
We ban repeat infringers. Users with 3+ valid DMCA takedowns are permanently banned.
We are not liable for user copyright infringement. As a platform, we are protected by the DMCA safe harbor provisions (17 U.S.C. § 512).
15. Changes to This Disclaimer
We may update this Disclaimer periodically.

16. Severability

17. Entire Agreement
This Disclaimer, together with our Terms & Conditions, Privacy Policy, and Dispute Resolution Procedure, constitutes the entire agreement between you and VIPFreelancer regarding your use of the Platform.
18. Acknowledgment
BY USING VIPFREELANCER.COM, YOU ACKNOWLEDGE THAT:
You have read, understood, and agree to this Disclaimer.
You assume all risks associated with using the Platform, including hiring Freelancers or accepting Client projects.
VIPFreelancer is not responsible for any damages arising from your use of the Platform or your interactions with other users.
You will not hold VIPFreelancer liable for any user-to-user disputes, poor quality work, or non-payment.
You have had the opportunity to consult with legal counsel before agreeing to this Disclaimer.
