1. Introduction & Acceptance

Welcome to VIPFreelancer.com (“the Platform”). These Terms and Conditions (“Terms”) govern your use of the Platform as either:


  • A Business /Client (“Client”) hiring freelance services, or

  • A Professional Freelancer (“Freelancer”) offering services.


By registering, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.


VIPFreelancer acts solely as an intermediary connecting Clients and Freelancers. We are not a party to any service agreement between them.


2. Definitions

Term Definition
Platform VIPFreelancer.com website, apps, and related services.
Client Business or individual posting a project or hiring a Freelancer.
Freelancer Professional service provider offering skills through the Platform.
Project A specific task, milestone, or ongoing work requested by a Client.
Escrow Funds held securely by VIPFreelancer until project completion.
VIP Badge Verification status granted to top-tier Freelancers after vetting.

3. Eligibility

You must be at least 18 years old to use VIPFreelancer.

  • Freelancers: Must provide verifiable identity, portfolio, and professional references upon request.

  • Clients: Businesses must provide valid registration details; individual Clients must verify identity for high-value projects (>$5,000).

We reserve the right to reject or suspend any user who fails verification.

4. Account Registration & Security

  • You are responsible for maintaining confidentiality of your login credentials.

  • You agree to notify us immediately of any unauthorized account access.

  • One person/business may hold only one active account unless written permission is granted.

VIP Freelancer Badge:
Freelancers may apply for the VIP Badge. Approval requires portfolio review, skill test (if applicable), and a background check. VIP status can be revoked for policy violations.

5. For Clients (Businesses Hiring Freelancers)

5.1 Posting Projects

  • You must provide a clear, honest description of the project scope, deliverables, and deadline.

  • Bait-and-switch (posting one project but assigning another) is strictly prohibited.

5.2 Payment & Escrow

  • Funds for fixed-price projects must be deposited into Escrow before work begins.

  • For hourly projects, we require a verified payment method. Weekly auto-billing applies.

  • VIPFreelancer charges Clients a service fee of [5–10%] per transaction (deducted at payment).

5.3 Release of Payment

  • Once a Freelancer submits deliverables, you have up to 7 days to review and request revisions (as per your agreement).

  • If you approve, funds are released to the Freelancer.

  • If you do not respond within 7 days, the funds are automatically released (unless a dispute is open).

5.4 Disputes

  • You must attempt good-faith negotiation with the Freelancer first.

  • If unresolved, VIPFreelancer may review chat logs, deliverables, and milestones to make a binding decision.

  • Fraudulent disputes (e.g., receiving work and refusing payment) result in immediate account termination and legal action.

5.5 Prohibited Actions

  • Asking Freelancers to work outside the Platform to avoid fees.

  • Requesting illegal, unethical, or copyrighted material without proper license.

  • Harassment, discrimination, or abusive language.

6. For Professional Freelancers

6.1 Offering Services

  • You represent that you have the required skills, licenses, and permissions to perform the services offered.

  • Misrepresenting your skills, experience, or portfolio is grounds for immediate ban and forfeiture of Escrow funds.

6.2 Payment Terms

  • You set your own rates (hourly or fixed).

  • For fixed-price projects, funds are held in Escrow. Work is only released after Client approval.

  • For hourly projects, you must use the Platform’s time-tracker tool for logged hours to be billable.

  • VIPFreelancer charges Freelancers a service fee of [5–10%] per payment received.

6.3 Payout Schedule

  • Approved funds are available for withdrawal immediately.

  • Withdrawals to bank accounts/crypto/wallets take 1–5 business days depending on your region.

  • Minimum withdrawal: $50 USD (or equivalent).

6.4 Delivery Standards

  • You must deliver work that matches the project description and agreed quality.

  • Reasonable revisions (as specified in your proposal) are included at no extra cost.

  • Missed deadlines without prior communication may result in refund to Client and negative rating.

6.5 Prohibited Actions

  • Using AI-generated content without disclosing it to the Client (unless explicitly allowed).

  • Submitting plagiarized, stolen, or pre-existing work as original.

  • Soliciting Clients to pay outside the Platform.

  • Subcontracting work to another freelancer without Client’s written consent.

7. Escrow & Payment Protection (Both Parties)

VIPFreelancer uses bank-grade Escrow for all fixed-price projects.

  • Client benefit: Funds are only released when you confirm satisfactory delivery.

  • Freelancer benefit: Funds are guaranteed once approved; no “chargebacks” or “non-payment.”

Refund Policy for Clients:

  • If a Freelancer completely fails to deliver or delivers fraudulent work, you may request a full refund.

  • If work is partially delivered, a proportional refund may be granted.

  • “Change of mind” after work begins is not grounds for refund.

Freelancer Protection:

  • If a Client refuses to pay after approving work, we release funds from Escrow immediately.

  • If a Client disputes unfairly, we review evidence and make a final decision.

8. Fees & Commissions

9. Dispute Resolution Process

  1. Step 1 – Direct Negotiation: Both parties communicate via Platform chat for 3 days.

  2. Step 2 – Mediation: VIPFreelancer support reviews the case (free).

  3. Step 3 – Arbitration (for disputes >$1,000): Binding decision by VIPFreelancer’s dispute team. Fee of $50 charged to the losing party.

  4. Step 4 – Legal Action: Either party may pursue independent legal action. However, you agree to attempt arbitration first.

10. Intellectual Property

  • Freelancer retains IP until full payment is received.

  • Upon final payment, all deliverables become the exclusive property of the Client (unless otherwise agreed in writing).

  • Freelancers may display completed work in their portfolio only with Client’s written permission.

Prohibited:
Freelancers may not reuse, resell, or repurpose Client deliverables. Clients may not claim Freelancer’s process or methodology as their own.

11. Confidentiality

Both parties agree not to share:

  • Personal information of the other party.

  • Project details, trade secrets, or business strategies.

  • Platform chat logs or internal pricing.

Violation of confidentiality is grounds for immediate termination and potential legal liability.

12. Prohibited Content & Activities

The following are strictly forbidden on VIPFreelancer:

  • Illegal goods or services (drugs, weapons, hacking, fraud, adult content).

  • Financial scams, crypto pump-and-dump, or unlicensed investment advice.

  • Hate speech, harassment, or threats.

  • Spamming Clients or Freelancers.

  • Impersonating another person or business.

Violations result in immediate permanent ban, forfeiture of any Escrow funds, and reporting to authorities.

13. Termination & Suspension

By User:
You may delete your account at any time. Any ongoing projects must be completed or cancelled. Pending Escrow funds will be returned to Client or released to Freelancer per the project’s status.

By VIPFreelancer:
We may suspend or terminate your account immediately for:

  • Violation of these Terms.

  • Fraud, chargebacks, or payment disputes outside the Platform.

  • Receiving multiple legitimate complaints.

Upon termination:

  • Unpaid Escrow funds are held for 90 days pending any disputes.

  • Your profile is removed from search.

  • You forfeit any VIP Badge or benefits.

14. Limitation of Liability

VIPFreelancer is not liable for:

  • Direct or indirect damages arising from work delivered by Freelancers.

  • Loss of profits, data, or reputation due to project delays or quality issues.

  • Acts of God, cyberattacks, or third-party payment processor failures.

Maximum liability of VIPFreelancer to any user is limited to the total fees paid by that user to the Platform in the prior 6 months.

15. Indemnification

You agree to indemnify and hold VIPFreelancer harmless from any claims, damages, or expenses arising from:

  • Your breach of these Terms.

  • Your violation of any law or third-party rights.

  • Your dispute with another user (though we will assist in mediation).

16. Modifications to Terms

We may update these Terms at any time. Material changes will be notified via email and Platform notification 14 days in advance. Continued use after the effective date constitutes acceptance.

17. Governing Law & Jurisdiction
